These Terms of Service ("Terms") govern your access to and use of the Turnkey Services Pro Platform, including any related websites, applications, and services (collectively, the "Services"). By creating an account, accessing, or using the Services, you agree to be bound by these Terms.

1. Eligibility & Account Registration

By using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

1.2 You must provide accurate, current, and complete information when creating an account and keep this information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use or suspected compromise of your account.

2. Use of the Services

2.1 Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your internal business purposes or personal use, as applicable.

2.2 You agree not to: (a) reverse engineer, decompile, or attempt to discover the source code or underlying components of the Services; (b) circumvent or interfere with security features or access controls; (c) use the Services for any unlawful, harmful, fraudulent, or misleading purpose; (d) upload or transmit viruses, malware, or other harmful code; or (e) access or use the Services in a manner that violates any applicable law or regulation.

2.3 We may, in our sole discretion, suspend or terminate your access to the Services if we reasonably believe that you have violated these Terms, pose a security or legal risk, or if your use could adversely impact the availability, performance, or integrity of the Services.

3. User Content & Data

3.1 You retain all rights to content, data, files, and other materials you submit, upload, or store through the Services ("User Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and otherwise use User Content solely as necessary to provide, maintain, and improve the Services and as otherwise permitted by our Privacy Policy.

3.2 You are solely responsible for User Content and for ensuring that it complies with all applicable laws, regulations, and third-party rights, including intellectual property and privacy rights. We do not actively monitor User Content but may remove or restrict access to any content that we believe violates these Terms or applicable law.

4. Intellectual Property

4.2 You may not remove, alter, or obscure any proprietary notices on or within the Services. Any feedback, suggestions, or ideas you submit regarding the Services may be used by us without restriction and without obligation to you, and you hereby assign all rights in such feedback to us to the extent permissible under applicable law.

5. Payment, Subscriptions & Trials

5.1 Access to certain features of the Turnkey Services Pro Platform may require a paid subscription or other fees. Prices, billing cycles, and plan details will be presented at the point of purchase or within your account settings. All fees are stated in the applicable currency and are exclusive of taxes, which may be charged in addition where required by law.

5.2 By providing a payment method, you authorize us and our payment processors to charge all applicable fees to that payment method. Subscriptions will automatically renew at the end of each billing cycle unless you cancel in accordance with the instructions provided in your account. You are responsible for canceling your subscription before renewal if you do not wish to continue using the Services.

5.3 Any free trials, promotional offers, or discounts are subject to the terms presented at the time of the offer. We reserve the right to modify or discontinue such offers at any time. Unless otherwise stated, once a paid subscription period has begun, fees are non-refundable to the maximum extent permitted by law.

6. Disclaimers & Limitation of Liability

6.1 The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, error-free, or free from harmful components, or that any data or content will be accurate, complete, or reliable.

6.2 To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any loss of profits, revenues, data, or goodwill, arising out of or in connection with your use of the Services, even if we have been advised of the possibility of such damages. Our aggregate liability for all claims relating to the Services will not exceed the greater of (a) the amounts you paid to us for the Services during the three (3) months immediately preceding the event giving rise to the claim, or (b) one hundred (100) U.S. dollars (or the equivalent in local currency).

7. Indemnification

You agree to indemnify, defend, and hold harmless Turnkey Services Pro, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any rights of a third party, including intellectual property or privacy rights.

8. Term, Termination & Suspension

8.1 These Terms remain in effect until terminated by you or us. You may terminate these Terms at any time by closing your account and ceasing all use of the Services. Some provisions, by their nature, will survive termination (including, without limitation, payment obligations, intellectual property provisions, disclaimers, limitations of liability, and indemnification obligations).

8.2 We may suspend or terminate your access to the Services at any time with or without notice if we reasonably believe that you have violated these Terms, present a risk or possible legal exposure to us or others, or if providing the Services is no longer commercially viable. Where reasonably possible, we will provide you with advance notice before termination or suspension takes effect.

9. Changes to the Services & Terms

9.1 We are continuously improving the Turnkey Services Pro Platform and may add, modify, or remove features, functionalities, or services from time to time. We may also modify these Terms to reflect changes to the Services, legal requirements, or business needs. When we make material changes, we will provide notice by posting the updated Terms on this page and updating the "Last updated" date above, and, where appropriate, by sending you additional notice (such as email or in-product notifications).

9.2 Your continued use of the Services after the effective date of any updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Services and, where applicable, cancel your subscription.

10. Governing Law & Dispute Resolution

10.1 These Terms and any disputes arising out of or relating to them or the Services will be governed by and construed in accordance with the laws of the jurisdiction in which Turnkey Services Pro is incorporated, without regard to its conflict of laws principles, unless a different governing law is required by applicable consumer protection legislation.

10.2 Before initiating formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us using the details provided below. If a dispute is not resolved within a reasonable time, the parties may pursue the remedies available to them under applicable law. Where permitted by law, you and Turnkey Services Pro agree to resolve disputes on an individual basis, and not as part of any class or representative action.

11. Miscellaneous

11.1 If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

11.2 You may not assign or transfer these Terms, in whole or in part, without our prior written consent, and any attempted assignment without such consent will be null and void. We may freely assign or transfer these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets, or by operation of law.

11.3 These Terms, together with any additional terms or policies referenced herein (including our Privacy Policy) constitute the entire agreement between you and Turnkey Services Pro with respect to the Services and supersede all prior or contemporaneous understandings, agreements, or communications regarding the subject matter herein.
